Narwhal Law and Business Strategy is a community-rooted, values-driven law and strategy firm serving small businesses, creatives, and impact-focused organizations (ie. benefit companies, nonprofits, and mutual aid). We are headquartered in Portland, Oregon and primarily serve clients in Oregon, with some multi-state and federal matters depending on the project.
POSITION SUMMARY
Narwhal Law and Business Strategy is seeking an Of Counsel Attorney who is barred in Oregon, Spanish-speaking, and individually insured with professional liability insurance. This is a project-by-project, opt-in Of Counsel role. This is not an employee position and does not include benefits.
We are looking for an attorney who already has their own firm, solo practice, or primary source of income. You will remain independent, carry your own malpractice insurance, and be compensated on a percentage-of-fees, per-project basis. You will be offered matters that fit your skills and interests, and you can choose which projects you want to take on. This role can be as light or as busy as you choose, depending on your availability, the firm’s growth, and which projects you opt into. Over time, there may be a steady flow of work if that is something you want, but there is no minimum or guaranteed volume of matters.
In addition to strong legal skills, we are looking for someone who is excited to work within a broader community and ecosystem and to support new and existing businesses not just with legal work, but also by helping connect them to resources, partners, and support that help them thrive.
COMPENSATION AND STRUCTURE
This is an Of Counsel independent contractor relationship, not employment. Compensation is an agreed-upon percentage of total legal fees per client project. There is no salary, no hourly wages, and no benefits including health insurance, retirement, or paid time off. You maintain your own practice or primary professional work. You are responsible for your own taxes, insurance, and professional overhead. Work volume may grow over time depending on firm growth and your interest and availability.
SCHEDULE AND FLEXIBILITY
The schedule is fully flexible. Work is project-based. You control which matters you accept. Meetings with clients and the Narwhal team must be calendared and attended as needed. Work can be done remotely, but you must live in Oregon and be barred in Oregon.
REQUIRED QUALIFICATIONS
JD and active, good-standing membership with the Oregon State Bar.
Fluent or professionally proficient in Spanish (ie. able to conduct client appts, presentations, and prepare legal work in Spanish).
Active professional liability insurance.
Ability and desire to be client-facing from consult through project completion.
Comfortable building rapport quickly with clients from diverse backgrounds.
Strong organizational skills including calendaring and time blocking.
Excellent communication and problem-solving skills.
Ability to work independently, manage deadlines, and operate with minimal supervision.
Down-to-earth, collaborative, community-oriented, and kind.
Excited to collaborate with Narwhal’s ecosystem partners and community organizations.
Genuinely interested in helping clients not only with legal issues, but also with resource-connecting and practical support.
LEGAL EXPERIENCE REQUIRED
Applicants must be able to demonstrate experience in most or all of the following.
Business entity formation including LLCs, corporations, and partnerships.
Corporate structuring and governance including ownership structures, equity, roles, and internal frameworks.
Buy and sell agreements, ownership transitions, mergers, or acquisitions.
Contract drafting, review, and revision.
Demand letters, collection letters, and cease and desist letters.
Advising small businesses and community-based organizations.
Ability to handle matters that involve both legal strategy and practical business realities.
PREFERRED BUT NOT REQUIRED EXPERIENCE
Nonprofit organizations including formation, tax-exempt applications, governance, contracts, and ongoing advising.
Trademark applications and prosecution.
Copyright registration.
Franchising or alternative scaling models.
Tax law exposure.
HR and employment law.
Experience working with Spanish-speaking entrepreneurs, nonprofits, or community members.

HIRING PROCESS
For posted roles, we review all complete applications. Selected candidates will be invited to one or more interview rounds. We will discuss your experience, interests, and how this fits into your existing practice. Later in the process, we will do a reverse interview so you can assess fit on your end. We may hire more than one Of Counsel attorney depending on needs and fit.
